Jon is a trusted advisor to his clients and gets to know their businesses and goals, to proactively identify and resolve legal challenges. He has broad-based experience counseling clients across the full range of business law services, including deal-making, commercial contracts, real estate, workforce management and HR, and regulatory and corporate governance. He represents both large, global, publicly traded companies and smaller, high-growth entities to help seize legal and strategic opportunities avoid road-blocks and pitfalls.

Jon brings a practical approach to drafting and negotiating contracts to mitigate risk, while also allowing the parties to reach an agreement. He is nimble and is comfortable negotiating both from positions of strength where contract language may have industry-wide implications and in situations where the client may not have leverage to demand many changes.

He has negotiated a wide variety of contracts for his clients, including professional services contracts, real estate transactional documents, employment agreements, non-disclosure agreements, technology licensing contracts, and much more.

Jon also advises on contract management and deal-flow, so that contract negotiations do not hold up transactions and the parties can move forward with the underlying project. He develops form agreements and "play books" that allow clients to go quickly to market with an acceptable risk profile.

Real Estate Brokerage Law

Jon is one of the top experts on the law governing real estate brokerage and represents real estate brokerage companies, individual brokers, and tenants and landlords in connection with all facets of brokerage law. He spent seven years as an in-house attorney at CBRE, the world's largest real estate services company and continues to work on developing trends in the industry.

 

He negotiates commission and engagement agreements, manages internal and external fee disputes, runs litigations involving broker misrepresentations and negligence, drafts employment agreements, advises on recruiting and retention strategies, and counsels his clients in the management of brokerage operations, compliance with licensing requirements, interstate brokerage, conflict management, and fee sharing.

His deep understanding of both the commercial and residential real estate industry makes him a powerful advocate and problem-solver. Just as importantly, his approach to advising his clients enables them to focus on deal execution, client service, and revenue generation.

Artificial Intelligence and Machine Learning

Jon has developed a specialty in providing comprehensive legal guidance and advisory services tailored to the dynamic landscape of artificial intelligence (AI) technology. He understands both the legal intricacies of AI, and the technological underpinnings that drive their development and deployment. He has advised AI clients as well as companies working with machine learning, deep learning and no-code/low- code.

He advises AI companies with respect to compliance and regulatory matters, contract drafting, intellectual property, and ethical and responsible AI development.

Outside General Counsel

At his core, Jon is a business-minded advisor and approaches his practice as a partner to his clients. Relied on to find creative solutions to allow his clients to capitalize on opportunities, Jon is often the "first-call" when issues arise. He helps define the scope of the problem and begins working toward a solution, while navigating any potential PR or reputational concerns. He has spent years counseling executives and managers through novel issues and coordinating with various stakeholders internally and externally to reach successful outcomes. 

 

When an organization does not have an in-house legal resource or needs additional legal support, Jon can step in to serve as the go-to counsel.  As outside general counsel, Jon provides ongoing legal advice and services to his clients on a regular basis, acting as their dedicated legal department. Instead of hiring an in-house attorney, many of his clients leverage his expertise to serve as their outside general counsel.

Jon has spent his career resolving intricate legal challenges faced by businesses of all sizes. He brings a wealth of litigation experience to the table along with training under some of the greatest trial lawyers of our time. He has handled disputes ranging from contract claims, professional negligence, fraud, employment, government investigations, and corporate governance issues. 

 

He focuses on aggressive, economic, and efficient dispute resolution and advises his clients on early case-assessment helping them navigate the issues. He has extensive experience negotiating solutions through both direct engagement and alternative dispute resolution such as mediation and arbitration.  When necessary, he can litigate and advocate for his clients through zealous motion and trial practice to achieve the best possible outcome for his clients.
